Role of a CVHC Trustee
Compton Verney is governed by a Board of Trustees.
The Board:
- determines policy and, together with the leadership team,
- sets the strategic direction of the organisation
- oversees the management of the gallery
- approves resource allocations
- represents Compton Verney externally
- monitors performance against agreed objectives
Trustees’ responsibilities and commitments include:
- attendance at formal board meetings (plus a strategy away day) per year
- scrutinise and discuss board papers
- provide expert guidance as required
- collectively ensure that the organisation is meeting its charitable objects in line with governing documents, charity law and other regulations
- ensure the effective administration of the charity
- safeguard the reputation of the charity.
We are particularly looking for CVHC Trustees with skills in the following areas following a skills audit of our current Trustees:
- Advocacy including local, regional and national political connections and access to broad influential networks
- Audience centered thinking including insight, marketing and communications
- Fundraising including philanthropic networks
- Arts and culture specifically networked in the UK and European subsidised cultural sector
- Visual arts, collections and curatorial experience
We are especially interested to engage candidates who have a strong connection to the local area or region of the West Midlands, especially Warwickshire, Birmingham, or Coventry and would be willing to open their networks to Compton Verney (for example with the local Combined Authority, Coventry’s cultural networks, and wider Midlands communities).
Role of a Finance & Audit Committee Member
The role of the Finance & Audit Committee is to oversee the effective financial and risk management of Compton Verney House Charity (CVHC) on behalf of the Board of Trustees and make recommendations to the Board thereon.
The Committee has responsibility for the oversight of:
- The annual audit of financial statements
- Financial Management and controls
- Risk management
Members’ responsibilities and commitments include:
- attendance at formal committee meetings
- scrutinise and discuss papers
- provide expert guidance as required
- ensure the effective administration of the Charity
The Finance & Audit Committee would welcome candidates with a risk, audit, systems or IT background. Finance expertise would be welcome but not essential.
Role of a CVPL Director
Compton Verney Publications Limited (CVPL) is a trading subsidiary for Compton Verney House Charity (CVHC). The Subsidiary is wholly owned by the Charity and exists to raise funds for the Charity to use for its charitable purposes.
CVPL monitors progress against relevant contractual arrangements and income streams within the remit of CVPL. At times, CVPL will also consider the overall charitable income of CVHC where appropriate in relation to the CVPL income streams.
Directors’ responsibilities and commitments include:
- attendance at formal board meetings
- scrutinise and discuss board papers
- provide expert guidance as required
- ensure the effective administration of the company
CVPL are particularly keen to hear from you if you have experience in contract catering, retail or events (ideally client side).
Additional information
Number of meetings per annum/time commitment:
- Trustee – minimum of 4 meetings + an away day per year.
- F&A committee member – minimum of 4 meetings per year
- CVPL Non-Executive Director – minimum of 4 meetings per year
